Terms of Service

These terms cover every service GM SideKick™ provides. Buying a trial event, a build, or a monthly plan means you agree to them. If you do not agree, do not buy. Asking us to list, update, or test your venue in Columbus Event Spaces, or signing our permission form, means you agree to the parts of these terms named in Free directory listings. Using the free Event Profit Calculator means you agree to the parts of these terms that cover it: Trademarks and the Calculator, The service is provided as is, Limitation of liability, and Governing law and disputes. Guests who use Columbus Event Spaces follow our guest Terms.
Who we are
GM SideKick™ is a service of Spark Leads Agency, LLC, an Ohio limited liability company at 2691 E Main St, Columbus, OH 43209. In these terms we, us, and our mean Spark Leads Agency, LLC. You and your mean the restaurant that buys the service and the person who signs up for it. In Free directory listings and the sections it names, you also means a venue that asks us to list, update, or test it, or signs our permission form, and the person who asks or signs.
Authority to bind
The person who signs up confirms they have authority to bind the restaurant to these terms. If that person turns out not to have it, that person takes on these terms in their own name.
What you get
The build has five pieces. We film your venue. We price your private-event packages with the Event Profit Calculator and you approve every price. We build a booking page where guests pick a date and pay a deposit online. We answer every private-event inquiry and follow up until the guest decides. We ask every past host back. We run the booking system and the ticketed events you choose under Ticketed events, and nothing else. You meet the guest, you staff the room, and you run the event. The system works when your private-event inquiries reach the booking page, so you agree to route them there. Inquiries you keep somewhere else never reach us and we are not responsible for what happens to them.
How inquiries get answered
Automated software answers your private-event inquiries and follows them up in your voice, using the information and prices you approved. The software closes the booking. When a guest asks for a person, we hand the conversation to your GM. You stay the party that contracts with the guest.
Trial event
The trial event is $499 and covers one event over 14 days. Trial work starts the day you sign up. Your launch prices stay locked through the trial and for 7 days after it ends. Buy the build in those 7 days and the $499 comes off the build price. After that the credit ends and current prices apply. The trial fee is non-refundable once you sign up.
Build and monthly plan
The build is a one-time fee of $2,500. You pay it before work starts. The monthly plan is $99 a month. These are launch prices. Launch pricing is for our first 10 clients. After that the build is $5,000 and the plan is $199 a month. We take your first monthly charge the same day as the build fee. The plan runs month to month from that day. There is no minimum term. Stopping the plan takes 30 days’ notice, as set out in Cancel, pause, or come back. Prices can change for new customers at any time. Clients on launch pricing keep their rate while their plan stays active. A pause or a cancellation ends it.
Recurring billing
The $99 monthly plan renews every month and it keeps renewing until your plan ends. We charge the card you give us on the same day each month. The $2,500 build fee and the $499 trial fee are one-time charges and they do not renew. We email a receipt for every charge. Cancel any time with 30 days’ notice by emailing support@gmsidekick.app. Your notice runs 30 days from the day we get your email. Your billing runs as normal through that period. Then the charges stop.
Booking fee
Package prices carry a 15% booking fee. It applies to every event, private and ticketed. A ticketed event carries 15% or 30% in total, as set out in Ticketed events. The fee is built into the price the guest pays. Your net per event is agreed first and the fee sits on top of it, so it never comes out of your net. A booked event means an event booked through your booking page or booked from an inquiry we answered. For a ticketed event it means every ticket sold through the ticket page we build. Walk-ins and events you book yourself carry no fee. Guest payments land in your own account, so you owe us the fee on every booked event. We invoice you for it after each booked event. You keep booking records for those events and you show them to us when we ask. When a guest cancels a booked event before it happens we credit the fee on that event. When a ticket is refunded we credit the fee on that ticket. Fees on events booked before your account ends stay payable after it ends.
Ticketed events
You can run ticketed events with us. Our event library is a set of event formats we built, such as tastings, bourbon dinners, and seasonal nights. Pick one and it carries 15%. For that we pick the format, price the tickets, and build the ticket page. We give you a promo kit and we email your own guest list. You approve every ticket price before the page goes live. Run as many library events as you like.
Add our marketing to a library event and it carries 30% in total. A custom event is one we build for your venue. It always carries 30% and our marketing comes with it. Signature and yearly events count as custom events. Every percentage is figured on your base ticket price. It is built into the ticket price the guest pays. It is the booking fee for that event.
Our marketing has four parts. We list the event on Columbus Event Spaces and give it its own event page. We send it to our What’s on email list. We post it on the GM SideKick™ and Columbus Event Spaces social pages. We email it to your list and post it on your social pages, or we give you the posts to share. We choose the timing and the number of emails and posts. Our marketing never includes paid ads.
We never pay for ads. If you want paid ads, you pay the ad platform directly from your own ad account and your own card. The account, its data, and its billing are yours. The platform’s terms apply to your account, your ads, and your spend. We set up and run the ads at no extra fee. We can stop running your ads at any time. We tell you first. Ad spend goes from your card to the platform, so we never hold it and we never refund it. Take any billing question to the platform. We do not guarantee any result from ads.
You confirm that everyone on any list you give us agreed to get your emails. You confirm you hold the rights to everything you give us to post or to use in an ad. That includes photos, video, logos, music, and text. Messages to your guests also covers these emails.
We can decline or pause any event, email, post, or ad that breaks the law or a platform’s rules. We tell you when we do.
You run the event and you sell the tickets in your name. Ticket refunds follow the ticket terms on that event’s ticket page. You approve those terms before the page goes live. You handle refunds to guests, as you do with deposits.
Deposits and guest money
Guests pay deposits on your booking page through the payment processor. That money goes straight to your own processor account. Spark Leads Agency, LLC never holds guest funds. You set the deposit amount and your own booking rules. You honor every booking the page takes, you handle refunds to guests, and you pay any tax on that revenue. The payment processor charges its own fees under its own terms.
Cancel, pause, or come back
The monthly plan is month to month. There is no minimum term. You can cancel or pause any time with 30 days’ notice. Email support@gmsidekick.app to give notice. Your notice starts the day we get your email. We email you back with your end date. The service runs for those 30 days. Your booking page stays live and we keep answering your guests. Your billing runs as normal through that period. Your plan ends on the last day of the notice period, and that day is the day your account ends. A pause counts as a cancellation for billing and it takes the same 30 days’ notice. We give you the same 30 days’ notice when we end the service for our own convenience. When your plan ends we switch off the answering, the follow-up, and the rebook loop, we take the booking page down, and your license to the photos, video, and materials ends with it. Room Tour video and photos follow their own section and stay licensed to you. Coming back later costs a $1,000 re-join fee. It covers re-onboarding you and updating your old account. It applies after a pause the same way it applies after a cancellation. Your launch rate ends with your plan, so you come back at the prices current then.
How to give notice
Send one email to support@gmsidekick.app. Writing cancel or pause in the subject line helps us act fast. Your notice counts either way and it starts the day it arrives. We reply with the date your plan ends. You need no phone call and you give no reason. One email does it. A notice email is not a dispute, so your 30 days’ notice starts on the day it arrives whatever else the email says.
Your notice period
Everything keeps working through your notice period while your account is in good standing and your payments clear. We answer your inquiries. We follow up with your guests. Your booking page stays live and takes deposits. Your license to the photos and the video runs to the end of your notice period under the Ownership clause. Room Tour video and photos follow their own section. We keep pricing your packages with the Event Profit Calculator to the same day. The booking fee applies to every event booked in that window. Your plan ends on the last day of the notice period.
Refunds
The $2,500 build fee and your first $99 monthly charge are non-refundable once you sign up. We start work that day. The shoot, the pricing, and the page are built for your venue alone. Monthly fees are not refunded for part of a month. We do not refund a monthly charge that falls inside your notice period. If we end the service for our own convenience we refund any prepaid month you have not used. The $499 trial fee is non-refundable once you sign up.
Payments
You pay through our online checkout. You authorize us and our payment processor to charge the card you give us for the purchase and for the monthly fee. Keep a valid card on file. If a payment fails we email you, and we can hold the answering and the follow-up until it clears. Prices exclude tax. You pay any sales or use tax that applies.
Your responsibilities
You give us accurate information about your venue, your capacity, your menus, and your prices. You approve every package and price before it goes live. You keep your availability current and you tell us the moment a date, a price, or a room changes. You give us access to the inbox, the phone number, and the booking channels you want us to answer. You route your private-event inquiries to the booking page. You confirm you hold the rights to every photo, logo, menu, and material you hand us.
Answering on your behalf
We answer as part of your team, in your name, using the information and prices you approved. You stay the party that contracts with your guests. Deposits go to your own payment account and never to ours. You deliver every event that gets booked.
Messages to your guests
The system sends email and text follow-ups, review requests, and invites to book again to the guests who contact you. For ticketed events we also email your own guest list for you. When we market an event we also post it on your social pages. You are the sender of record on those messages. You confirm you have the right to contact those guests, and everyone on any list you give us, at the number and the address they gave you. Every text carries STOP to opt out and HELP for help. We honor every opt-out and we stop messaging that guest. Tell us right away when a guest asks you to stop. We can hold the messaging when we have a reason to doubt the consent. Guest personal information is handled under our Privacy page. Message and data rates apply to your guests.
Approvals and accuracy
We will not publish prices, minimums, or availability you have not approved. If you change prices, capacity, or availability, you agree to tell us promptly so we can update what we tell guests. We are not liable for bookings made on information you gave us that was out of date.
Ownership
Spark Leads Agency, LLC owns every photo, video, file, page, list, script, template, process, campaign, contact, email list, and system we create or use for you. Guest lists and contacts you give us stay yours. So do your ad account and its data. You get a revocable license to use the photos, videos, and materials while your account is active. We may revoke that license at any time, and it ends when your account ends. You give us permission to use your venue name and event results in our own marketing unless you tell us in writing not to. Trademarks and the Calculator
GM SideKick™ is a trademark of Spark Leads Agency, LLC. You may use the name and the mark while your account is active and only in the way we approve. The Event Profit Calculator is our own tool. We own it, its code, and its method. We offer a free version to anyone while we choose to. What the free version includes can change. We price your packages with it while your account is active. The package prices we set with you are prices you approve. Calculator results on their own are estimates for planning only, never a recommended price. You set your own prices.
Confidentiality
You give us your menus, your costs, your covers, and your prices so we can build your packages. We keep that information to ourselves and we use it to run your service. We share it only with the providers who run the system for us. You keep our prices, our process, and the price list, costs, margins, and grades we build for you in the Event Profit Calculator to yourself. The For the booker copy of a quote is yours to send to your guest. The Ownership clause still lets us use your venue name and your event results in our own marketing. Neither side has to protect information that is already public or that a court orders it to hand over. This clause runs for three years after your account ends. A trade secret stays protected for as long as the law protects it.
No guaranteed results
We work to get you more private-event bookings. We do not guarantee any number of inquiries, bookings, ticket sales, or revenue. Results depend on your venue, your location, your prices, the season, and whether your inquiries reach the booking page. Timelines and speeds we publish, such as replies in minutes, live by week 3, and first event booked by day 30, describe our normal pace and are not a promise. Figures on our website, including the $72,000 example, are illustrations. We build them from industry research and from example assumptions, not from measured results at your restaurant. Our Disclaimers page explains each one and it forms part of these terms.
Who we work with
We only work with restaurants that meet our qualifications. We can turn down an account. We can end one that stops meeting them, and we do that under the notice and the refund rules in When we end the service. We do not promise you a territory, an area, or the only spot in your city. We can work with other restaurants near you.
Free directory listings
Columbus Event Spaces is our free guide to private event spaces in Columbus. GM SideKick™ runs it. A listing is free. No card. No lead fees. We never charge you without your signed OK. The promises in this section and in Scores and tests apply to every listed venue.
We email you 60 days before we start charging for a listing, or before we change these listing terms in a way that costs you money or takes away one of your rights. Fixes, page edits, and updates to How we score don’t need notice.
We decide which venues appear and what each page shows. We build pages from public sources and from what you tell us. We can edit or remove a page at any time. Prices on your page are estimates. You set the final price.
We send guest questions from your page to the email you give us. Until you give us one, they come to us and we pass them on. If a guest gets a slow reply, we may suggest other spaces to that guest. Some of them may be partners.
Ask us to fix a fact, a price, or a photo and we fix it within 5 business days. You can also ask us to take your page down. We decide each request and tell you what we will do.
When you send us photos, video, logos, or text, you give us a free, non-exclusive license to show them on Columbus Event Spaces and in its emails, and to crop and format them to fit. We share them on its social pages only if you say yes. We never use them in GM SideKick™ ads without your written OK. The license lasts while your venue is listed. Ask and they come down within 5 business days. You confirm you hold the rights to everything you send.
A free listing doesn’t make you a GM SideKick™ partner or client. Partners are venues that pay GM SideKick™ to book their events. Their pages say “GM SideKick™ partner.”
These sections also apply to a free listing: Room Tour video and photos, Scores and tests, Copyright complaints, Third-party services, The service is provided as is, Limitation of liability, Changes to these terms, The whole agreement, and Governing law and disputes. In those sections the service includes your listing and the guide. Indemnification applies to a free listing only for claims about material you sent us or facts you confirmed.
Room Tour video and photos
Spark Leads Agency, LLC makes the Room Tour video and photos and keeps the copyright. Your venue gets a free, permanent, non-exclusive license to post, share, and boost them to promote your venue on any channel. That includes the licenses each platform needs when you upload. The license never depends on buying anything.
You see the video first. Want changes? We reshoot it. Still no? We delete the video, the raw clips, and the photos.
We show them on your page and in Columbus Event Spaces emails. We share them on its social pages only if you said yes. We never use them in GM SideKick™ ads without your written OK. Ask and they come off our pages within 5 business days. Please keep our small logo on the social video. That is a request, not a condition.
We film rooms with no guests in them. We film a staff member’s face only with that person’s signed OK.
Scores and tests
We test venues like a real guest, by web form, email, and phone. The venue doesn’t know it’s a test. We keep the messages and times from every test. Each score is GM SideKick™’s opinion from dated tests. It grades the booking, never the food, the room, or the staff.
No one can pay for a score or pay to change one. A purchase never changes a score. We score partners by the same rules as every other venue.
You get your private scorecard 14 days before a score goes public, and before it drops a grade. Any venue can ask for one free re-test each quarter. You can post a free public response next to your score. How we score explains the method, and we may update it.
Copyright complaints
Do you own a photo or other content on our websites and want it changed or removed? Email support@gmsidekick.app. Tell us the page, what you own, and what you want. We act promptly. Are you in a photo here and want it taken down? Email us and we remove it.
Third-party services
The system runs on services we do not own. HighLevel runs our checkout, client login, and chat. The payment processor takes the deposits. Other providers host the video and send the email and text messages. Social and ad platforms carry our posts and your ads. Their terms and their privacy policies apply to what they do. We are not responsible for their outages, their fees, or their decisions.
The service is provided as is
We provide the service as is and as available. We disclaim every warranty the law lets us disclaim, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the booking page, the answering, the Event Profit Calculator and its results, or any third-party service runs without interruption or error. Some states do not allow these exclusions, so part of this section may not apply to you.
Limitation of liability
To the fullest extent the law allows, our total liability for everything arising from these terms or the service is capped at the greater of $100 or the fees you paid us in the 12 months before the claim. That cap holds whatever the claim is built on, in contract, in tort, or otherwise. We are not liable for lost profits, lost bookings, lost data, or any indirect, incidental, special, or consequential damages, even where we knew they were possible. Nothing here limits liability for fraud, for willful misconduct, or for anything the law does not let us limit. This section survives the end of your account.
Indemnification
You defend us, indemnify us, and hold us harmless from any claim, loss, or cost that comes out of your content, your venue, your events, your prices, your staff, your guest consent, or your dealings with guests. That covers a booking you did not honor, a refund you owe a guest, an injury at your venue, a claim under an email, text, or telemarketing law, and any material you gave us that you did not hold the rights to. We tell you about a claim as soon as we hear of it. You control the defense with counsel we approve, and you need our written consent to settle a claim that puts an obligation on us.
When we end the service
We can end the service if you do not pay, if you ask us to publish something false, if you break these terms, or if you use the service in a way that is unlawful or abusive. We can also end it for our own convenience with 30 days’ notice. When we end it for our convenience we refund any prepaid month you have not used. When your account ends your license to our photos, video, and materials ends with it. Room Tour video and photos follow their own section and stay licensed to you.
Events outside our control
Neither side is responsible for a delay or a failure caused by something outside its reasonable control. That covers storms, fire, power and network outages, strikes, acts of government, and failures at a third-party provider. We pick the work back up as soon as we can.
Changes to these terms
We can update these terms. The current version sits on this page with its Last updated date. We email you at least 14 days before a change that affects your fees or your rights. For a free listing, the 60-day rule in Free directory listings applies instead. Your current terms hold through your notice period, so you can give your 30 days’ notice and leave under the terms you signed up on. Your $99 launch rate holds for as long as your plan stays active. A pause or a cancellation ends it. Using the service after a change means you accept the updated terms, unless you have already given notice.
The whole agreement
These terms, the Disclaimers page, the Privacy page, and any order form or permission form you sign are the whole agreement between us. If the Disclaimers page or the Privacy page and these terms disagree, these terms decide. They replace every earlier conversation, proposal, and email. What you buy is what these terms and your order form describe. Forward-looking figures, timelines, and examples on our marketing pages illustrate the service and they are not promises or warranties. If a court finds one part unenforceable, the rest stays in force. You need our written consent to assign this agreement, and we do not hold that consent back without a good reason. We can assign it to a buyer of our business. Nothing here makes either of us the partner, the employee, or the joint venturer of the other. Ownership, the Room Tour license you hold, Confidentiality, Refunds, the booking fee you owe on events booked before your account ends, Indemnification, Limitation of liability, The service is provided as is, and Governing law and disputes all survive the end of your account.
Governing law and disputes
Ohio law governs these terms, without regard to its conflict-of-law rules. Talk to us first. Email support@gmsidekick.app with the problem and we work on it with you for 30 days. That step does not apply to unpaid fees or to a court order we need to protect our materials or our marks. If the talk does not settle it, the state and federal courts in Franklin County, Ohio hear the dispute and both sides consent to that venue.
